Terms and conditions for using Magnolias Media services.

These terms govern use of the services provided by Magnolias Interactive, LLC, trading as Magnolias Media. Enterprise customers contract under a separate Master Services Agreement, which takes precedence over these terms where the two differ.

Definitions

These definitions apply throughout these terms, on our website, and in any quote we issue.

Zone — one area that plays its own audio, independently of any other area. A dining room is one zone. A dining room and a patio that need their own volume and schedule are two zones.

Player — the device that plays audio in a zone, whether purchased from us, supplied as part of an installed system, or provided by you under a bring-your-own-device arrangement.

Site — one player, covering one stereo zone or two mono zones. A site is not the same as a building. A single building may contain several sites, and a customer with several buildings may have one site in each.

Subscription period — the term stated in your quote or agreement, beginning at go-live.

Go-live — the point at which a site begins playing scheduled content in service, following installation and configuration.

Onboarding phase — for enterprise agreements, the period before go-live covering installation, configuration, security policy setup and integration.

Services

Magnolias Media provides background music, digital signage, overhead messaging, music on hold, AV installation and WiFi marketing for businesses.

All music supplied through the service is licensed for commercial use. That license covers the music we supply, played through the service, at the sites covered by your agreement. It does not extend to content you supply, to redistribution, or to playback at premises you have not told us about.

Subscription and billing

Standard subscriptions are billed monthly per zone and run month to month. There is no minimum term and no cancellation fee. You may cancel at any time; service continues to the end of the period already paid for.

Enterprise agreements run for a fixed term stated in the agreement.

Hardware purchased from us is billed separately from subscription fees. Installation is quoted per site.

Playback and connectivity

Players buffer a short amount of audio as standard, which covers brief interruptions to connectivity. Extended offline storage, which holds several days of audio on the device, is an optional paid add-on available on any plan.

A player must connect to our service at least once every 30 days to renew the encryption on its content. This is a condition of the music licensing. A player that has not connected within that period will stop playing until it does.

Support

Support requests may be submitted at any time and are logged on receipt. Response targets are stated in business hours, and they are response targets, not resolution times. Paid support plans are contracted separately and begin at the start of the subscription period.

Where a plan states a response target, it applies to the initial response. It is not a commitment to resolve an issue within that time, and it does not apply to matters outside our control, including your network, your power, and third-party hardware we did not supply.

Your responsibilities

Content you supply

You are responsible for content you supply for digital signage, overhead messaging or music on hold, and for holding any rights required to use it. We do not license content you provide.

Acceptance

By using our services you agree to these terms. If you do not agree with them, do not use the services.
